MASTER CLIENT SERVICES AGREEMENT

This Master Client Services Agreement (“Agreement”) is entered into by and between Seek Within LLC, a Texas limited liability company (“Company,” “Seek Within,” “Coach,” “we,” “us,” or “our”), and you (“Client,” “you”).

This Agreement governs all services, programs, products, memberships, challenges, coaching engagements, and sessions offered by Seek Within LLC, including but not limited to digital products, group programs, memberships, one-on-one coaching, Mental & Emotional Release® (MER) sessions, NLP-based coaching, and hypnosis-based services (collectively, the “Services”).

By purchasing, enrolling in, accessing, or participating in any Services, you agree to be legally bound by this Agreement.

1. Eligibility & Global Use

Client affirms that they:

- Are at least 18 years of age

- Are legally capable of entering into this Agreement

- Are participating voluntarily

Seek Within LLC accepts international clients. Services are provided from the United States, and Client agrees that U.S. and Texas law govern this Agreement.

2. Scope of Services & Important Disclosures

Educational & Coaching Nature of Services

All Services provided by Seek Within LLC are for educational, informational, and personal development purposes only.

Seek Within LLC and its representatives are not acting as:

- Medical doctors

- Licensed mental health professionals

- Psychotherapists

- Psychiatrists

- Registered dietitians

- Healthcare providers

Credentials Disclosure

Seek Within LLC services may incorporate tools and methodologies informed by:

- NASM-certified wellness coaching principles

- Neuro-Linguistic Programming (NLP)

- Hypnosis-based techniques

- Mental & Emotional Release® (MER)

These modalities are used for coaching, awareness, mindset, habit change, and personal insight, not medical or mental health treatment.

3. No Medical or Mental Health Treatment

Client acknowledges and agrees that:

- Services do not diagnose, treat, cure, or prevent any disease or mental health condition

- Services are not a substitute for medical, psychological, or psychiatric care

- Client is responsible for seeking professional care when needed

Client agrees to disclose relevant health conditions to appropriate licensed providers.

4. Assumption of Risk & Client Responsibility

Client acknowledges that participation may involve:

- Physical activity

- Lifestyle changes

- Emotional exploration

- Mindset or subconscious work

Client assumes full responsibility for all risks, known or unknown, and agrees that they are solely responsible for:

- Their physical and mental health

- Any decisions, actions, or outcomes resulting from participation

- Communicating personal limits, injuries, or concerns

5. No Guarantees

Client understands that:

- Results are not guaranteed

- Outcomes depend on personal effort, consistency, and circumstances

- Testimonials or examples are not promises of results

6. Service-Specific Terms

A. Low-Ticket Digital Products

Includes downloadable content, prerecorded materials, guides, or educational resources.

- All sales are final

- No refunds once access is granted

- Content is for personal use only.

By purchasing, you agree that all intellectual property remains confidential and cannot be used for resell.

B. Challenges (Short-Term Programs)

Includes time-limited challenges, habit-based programs, or group experiences.

- Participation is voluntary

- No guarantees of results

- No refunds once challenge access begins

- Client assumes responsibility for participation choices

C. Lite Membership / Community Access

Includes subscription-based community access, workouts, resources, or general guidance.

- Auto-renewal applies unless canceled

- Membership is non-transferable

- No refunds for partial billing periods

- Community conduct standards must be followed

D. One-on-One Coaching

Includes personalized coaching delivered online.

- Minimum commitment period applies as disclosed at enrollment

- Auto-renewal applies after commitment period

- 30-day written notice required to cancel

- Missed sessions are not guaranteed to be rescheduled

E. Mental & Emotional Release® (MER), NLP & Hypnosis Sessions

Client acknowledges that:

- MER, NLP, and hypnosis are non-medical, non-clinical modalities

- Participation may involve emotional awareness or release

- Client remains conscious, aware, and in control at all times

- Client may stop a session at any time

Client agrees they are emotionally and mentally fit to participate and accepts full responsibility for their experience.

7. Payment, Billing & No Chargebacks

Payments are processed via third-party providers including:

- Stripe

- Whop / SplitIt Pay

Client authorizes recurring billing where applicable.

Client agrees not to initiate chargebacks or disputes without first attempting good-faith resolution with Seek Within LLC. Unauthorized chargebacks constitute a breach of this Agreement.

8. Cancellation & Termination

- 30-day written notice required where applicable

- No refunds for unused time, partial months, or missed sessions

- Seek Within LLC may terminate Services at any time for violation of this Agreement or inappropriate conduct

- Financial obligations incurred prior to termination remain due

9. Confidentiality & Testimonials

Client information is kept confidential except as required by law.

Client grants permission for:

- Anonymous testimonials

- Non-identifying excerpts of feedback

Identifying content (photos, names) requires written consent through our messaging platform.

10. Intellectual Property

All materials, programs, frameworks, methods, and content are the exclusive intellectual property of Seek Within LLC.

Client receives a limited, revocable, non-transferable license for personal use only. Redistribution, resale, or reproduction is prohibited.

11. Limitation of Liability

To the fullest extent permitted by law, Seek Within LLC shall not be liable for any indirect, incidental, special, or consequential damages.

Total liability shall not exceed the amount paid by Client for the applicable Service.

12. Indemnification

Client agrees to indemnify and hold harmless Seek Within LLC from any claims, damages, losses, or liabilities arising from participation, actions, or breach of this Agreement.

13. Governing Law & Arbitration

This Agreement shall be governed by the laws of the State of Texas.

Any dispute shall be resolved through binding arbitration in Texas, and Client waives the right to participate in class or collective actions.

14. Entire Agreement & Modifications

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements.

Seek Within LLC may update this Agreement at any time. Continued use constitutes acceptance.

15. Acceptance

By enrolling in, purchasing, or accessing any Services, Client acknowledges that they have read, understood, and agreed to be bound by this Agreement.
